As a Senior Legal Counsel, you will be part of Asia, Middle East & Africa Division based out of Cairo/10th of Ramadan city.
Tasks Your Tasks as a Senior Legal Counsel will include the following: Counsel Country Divisions concerning all legal (incl. intellectual property), corporate governance and compliance issues. Establish, maintain, train and manage Group and Country policies and procedures; manage roll-out and Integrity auditing of new policies and regulations (e. g. Group Instructions and Guidelines). Provide legal support to Local Business Unit’s with regards to commenting customer’s general terms and conditions, contract drafting, risk review process (including waiver applications). Support in contract negotiations with customers and suppliers. Responsible for legal claims management and for handling of all litigations, arbitrations and administrative proceedings (including foreign affiliate matters). Engage and manage external counsel when necessary. Train Local Business Unit’s (e. g. ABB’s contract standards and Group Instructions). Responsible for labor and employment law counseling to Country Management. Monitor development in the national and cluster legal environment. Support Legal counseling (including structuring, drafting and negotiation) regarding mergers & acquisitions / divestiture transactions (leadership or key role). Provide Comprehensive legal support across business development, project management delivery and operations management functions. High level reporting and working in association with divisional/ functional/ business heads on all matters, and full advice and support to all relevant executives to achieve business objectives in compliance with the relevant legal requirements of the countries in which they operate. Legal research and due diligence on all aspect of business activities across the territory. Conduct legal and Integrity workshops and trainings.
Requirements Ideally you should have a university degree in law from a leading University preferably Egyptian law university and an additional degree from a University outside of home country (LL. M. , Ph. D. etc. ) or extensive international experience with 10+ years of relevant experience as in-house counsel or external counsel. Knowledge of Egyptian and French Laws is required. Proficiency in English language is must.
